11-01-05 STRATEGY SERIES | Building and Launching a Consumer
Company
The economics of building a
successful consumer technology company have changed in the past few years.
Today, it takes fewer people and less capital to create a new application test
for eager Internet users. But while classic barriers to entry may be lower than
ever, launching and sustaining a new company is still a delicate balancing act
that requires an air-tight strategy. This IBDNetwork Strategy Series will focus
on how to build a consumer technology company, based a discussion of leading
models that have hit pay dirt in the past 12 months, or have spectacular
near-term prospects.
Topics to be covered include:
-
How much time and money will it realistically
take to develop a working prototype?
-
Regarding business models -- if not
advertising-based, then what others should you consider?
-
When should you raise venture capital, and what
are VCs looking for?
-
When should you put your application in the
hands of users, and how do you leverage their feedback in the next development
cycle?
-
Who should be on your startup team, and when
should they quit their day jobs?

10-11-05 STRATEGY SERIES | Best Practices for Building a
Board
For new entrepreneurs and seasoned start-up executives alike,
creating an effective board of directors can be a make-or-break situation only
mastered with experience. Every CEO should know the basic principles of building
a board that will help grow his or her company. Many CEOs lose out on the
opportunity to leverage their boards' collective experience while navigating the
challenges of building the company. At this Strategy Series event, experienced
entrepreneurs and professionals will talk about the right way to build, manage,
and leverage a
board.
-
Who should be on your board - required vs.
recruited members? How many people with what
expertise?
-
How often should you communicate with your
board, what should you tell them, and how should you manage the relationships in
between board
meetings?
-
What do boards expect from the management
team?
-
What should you expect from your
board?
-
How should you deal with disputes among board
members, other investors, and with your management team - and keep your
job?

| Not Every Angel Comes From Heaven: The Pros and Cons of Working With
Early-Stage Investors
One of the most important decisions a CEO can make is how to
fund its first stage of the start-up venture. Angel investments are often the
chosen route, yet experienced CEOs and finance executives say that angels are
not all the same, and that their involvement has a significant impact on future
rounds of funding with traditional VCs. Our panel of experts debated the issues
of taking an angel round and what impact it will have on future rounds.
Participants walked away with a better understanding when considering
early-stage investments.
* A review of findings from a recently published survey by George
Washington University, describing the relationship between angels and VCs.
*
Further examination of the pros and cons of angel investments - is it true that
more than half of VCs won't work with companies that take an angel round?
*
Defining the characteristics of an ideal angel investor, according to
experienced VCs and CEOs.
* Knowing what to expect from angels once the
investment is made - management involvement, etc.
* What angel investments
are worth - standard equity ratios.
* Legal issues - how to negotiate clear
financial and other terms.

SERIES | Terms of the Deal Were Not Disclosed!
We've all seen the latest headlines of the M&A activity in
the technology industry, but when public companies buy privates, we don't get to
know the 'financial dirt.' Meanwhile, there are plenty of non-financial
questions surrounding deals that entrepreneurs would like to ask, but don't have
the opportunity or the forum.
IBDNetwork has assembled a panel of three top executives from
recently acquired companies to NOT discuss the 'Terms of the Deal' - but they
can dish on the behind-the-scenes deal-making that occurred. Don't count on
these executives to bend any SEC disclosure laws, but they will offer insight
that will help executives become better prepared for M&A activity - the most
probable exit for a startup company.
Topics to be discussed: * How did the acquisition happen - did
they approach you or vice versa?
* What were the expectations behind it, and
have they been met?
* Did you plan to sell your company?
* How is the
integration going - is it what you expected?
* Are you having any internal
issues due to the acquisition? How are you handling them?
* At what point
will you know if the acquisition was a success? How will this be measured?

I. Alliances |
Successful Strategic Alliances
Most successful start-ups must forge
alliances with key industry players in their relative market sectors to grow
their businesses. Once the partnership deal is sealed, the next challenge is
effectively using and managing the alliance. We've assembled a panel of experts
to share their best practices for successful strategic partnerships,
including:
- Creating shared visions and accountabilities -
mapping your corporate strategy with your partners', and setting up clear
responsibilities
- Mastering the internal sales and marketing
campaign - how to motivate and manage strategic partners to actively sell your
product through their channels, and what to do if it doesn't work
- Preparing for possible acquisition and partner
investments
- Protecting your intellectual property at every
stage of the partnership - how paranoid should you be?
- Balancing human and financial resources within
your company to succeed with the strategic alliance, in addition to the rest of
your critical initiatives

II. Venture Capital | The Changing Landscape
of VC Investment
The finance trade publications tell us that tech VC
funds are oversubscribed, but if this is true, why aren't we seeing a sizeable
boom in start-up investments? It seems that more entrepreneurs are
bootstrapping, while VCs can't find many "quality investments." A panel of
leading experts on venture funding will talk about the current state of affairs,
including:
- What makes a quality investment - the five most
important things VCs want entrepreneurs to know
- New investment directions for VC firms, and
what it means to private companies
- On bootstrapping - should entrepreneurs take
traditional VC money at all? If so, how much and when?
- The increased role of angel investors, and what
to look for when considering this
direction

I. Mergers
& Acquisitions | Will There Be "Happily Ever After" for Private Software
Companies?
According to VentureOne, there are more than 10,000 private
software companies in business today. However, they are caught in a
consolidation squeeze, caused by a stingy IPO market, a drop in software market
capitalization, and the ongoing acquisition spree by large companies. Given this
reality, exit options are limited. Experts will discuss ways to survive in this
tough world. Topics will include:
- Adjusting your product and market focus - are
niche and vertical plays the better way to go?
- Creative acquisitions and roll ups - is it wise
to buy smaller or "broken" companies with great IP to fill gaps, or build it on
your own?
- Determining when the IPO market is no longer an
option for your company
- Knowing when and how to "shop" your company
(without looking desperate)

II. Growth Strategies |
Growth is Back
As the technology industry gains its post-bubble footing,
Valley executives are once again focused on growth. In this discussion, we'll
examine all options, and the strategies and tactics to make growth happen. Hear
insights from a seasoned panel of industry executives as they discuss questions
such as:
- What are the latest growth strategies among the
industry leaders?
- Are you deriving enough growth from your core
business?
- What tactical things can you do to increase
revenue in the next 3-6 months?
- On "Customer Led Growth" - how do you leverage
their feedback in your strategy?
- How can you sow the seeds for growth in areas
that are highly
speculative?
